Terms of Service
These terms govern access to and use of Meadow by organizations, their staff, parents, guardians, and other authorized adults.

1. Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between Meadow (“Meadow,” “we,” “us,” or “our”) and the person or entity accessing the Meadow website, applications, and related services (the “Services”). By creating an account, registering an attendee, clicking to accept these Terms, or otherwise using the Services, you agree to these Terms and our Privacy Policy.
If you use the Services for a camp, school, class provider, nonprofit, business, or other organization (an “Organization”), you represent that you have authority to bind that Organization. In that case, “you” includes the Organization. If you do not agree to these Terms, do not use the Services.
2. Meadow’s role
Meadow provides software that Organizations use to publish programs, collect registrations and waivers, manage rosters and waitlists, communicate with families, and support payments. Organizations—not Meadow—create and operate their programs, supervise attendees, hire and manage staff, set prices and refund rules, select registration questions, prepare waivers, make enrollment decisions, provide accommodations, and respond to medical or safety concerns.
Meadow is not a camp operator, childcare provider, school, healthcare provider, payment card issuer, or insurer. We do not endorse or guarantee any Organization, program, staff member, waiver, refund policy, safety practice, or service described through Meadow. Families must evaluate an Organization and direct program-specific questions and disputes to it.
3. Eligibility, adults, and accounts
- You must be at least 18 years old and legally capable of entering a contract to create an Organization account or submit a registration.
- The Services are intended for Organizations and adults. Children may not create accounts or submit information directly through the Services.
- If you provide information about a child, you represent that you are the child's parent or legal guardian or otherwise have lawful authority to provide the information and make the requested registration decisions.
- You must provide accurate, current information and keep it updated.
- You are responsible for activity under your account and for protecting your email account, authentication codes, devices, and credentials. Notify us promptly of suspected unauthorized access.
4. Organization responsibilities
Each Organization is responsible for its programs and its use of the Services, including:
- complying with laws, licensing rules, permits, accessibility duties, and industry requirements applicable to its programs;
- providing accurate program descriptions, pricing, schedules, contact information, cancellation terms, and refund policies;
- collecting only registration and children's information it reasonably needs and having a lawful basis and necessary authority to collect, use, disclose, and retain it;
- providing legally required notices and obtaining legally sufficient permissions, parental consents, releases, and signatures;
- ensuring its waivers, policies, and electronic-signature procedures are appropriate and enforceable in the jurisdictions where it operates;
- limiting staff access to authorized people who need the information and promptly removing access when no longer appropriate;
- safeguarding downloaded, printed, exported, or otherwise copied information;
- handling safety, medical, emergency, accommodation, child-protection, and mandatory-reporting obligations;
- responding to family questions, privacy requests, disputes, refunds, chargebacks, and complaints concerning its programs; and
- ensuring its content and instructions do not violate law or third-party rights.
An Organization may not rely on Meadow templates as legal advice. Waiver, policy, email, and form templates are starting points only and should be reviewed by the Organization's own qualified counsel.
5. Registrations, waivers, and family responsibilities
A registration is an agreement between the family and the applicable Organization. The Organization controls acceptance, waitlist placement, cancellations, credits, refunds, program changes, and attendance. Submission through Meadow does not guarantee a place unless the Organization confirms it.
Adults submitting registrations must review information for accuracy, disclose information reasonably requested for participant safety, and promptly update the Organization when relevant information changes. A waiver displayed through Meadow is supplied or selected by the Organization. Meadow preserves records of the waiver and electronic-signature event but does not determine whether a waiver is valid or enforceable.
6. Fees, subscriptions, and payment processing
Organization plans, transaction fees, and included features are described when an Organization subscribes or selects a plan. Unless stated otherwise at checkout, paid subscriptions renew automatically for successive monthly or annual periods until canceled. Organizations authorize Meadow and Stripe to charge applicable subscription fees, transaction fees, taxes, and other disclosed amounts. Plan or fee changes will apply prospectively after any notice required by law.
An Organization may manage or cancel a paid subscription online through the billing controls in its Meadow account, which open Meadow's Stripe-hosted billing portal. Cancellation ordinarily takes effect at the end of the current paid period, and access to paid features continues until then. Meadow will provide renewal, reminder, and fee-change notices when required by applicable law. Stripe provides payment infrastructure, but Meadow remains responsible for the subscription terms it offers.
Card payments are processed by Stripe. Stripe's terms and privacy policy also apply to its services. The applicable Organization is responsible for its Stripe connected account, identity and tax verification, payout information, refunds, disputes, chargebacks, and negative balances. Meadow may receive fees from transactions as disclosed in the Services. Payment processing can be delayed, declined, reversed, or unavailable due to Stripe, banks, card networks, legal requirements, suspected fraud, or technical issues.
Unless required by law or expressly stated otherwise, Meadow subscription and platform fees already incurred are nonrefundable. Refunds for a program registration are governed by the Organization's disclosed policy and applicable law. An Organization remains responsible for amounts it owes Meadow despite a family dispute, chargeback, refund, or failure to collect.
7. Acceptable use
You may not, and may not help another person to:
- use the Services unlawfully, deceptively, abusively, or in a manner that endangers a child or another person;
- submit information you lack authority to provide or access information you are not authorized to view;
- sell children's information, use it for targeted advertising, or use registration information for unrelated profiling or commercial purposes;
- upload malicious code, interfere with security or operation, probe for vulnerabilities without written authorization, or evade technical limits;
- impersonate another person, misrepresent an affiliation, or use another person's account;
- copy, modify, reverse engineer, decompile, scrape, or create derivative works from the Services except where applicable law prohibits this restriction;
- use automated means that impose an unreasonable load or extract personal information from the Services;
- remove proprietary notices or use Meadow's name, marks, or branding without permission; or
- use the Services to develop or train a competing product or general-purpose artificial intelligence model.
8. Customer content and data
As between Meadow and an Organization, the Organization retains its rights in forms, program content, waiver language, logos, registration data, and other material it submits to the Services (“Customer Content”). The Organization grants Meadow a nonexclusive, worldwide, royalty-free license to host, copy, transmit, display, format, and otherwise process Customer Content only as needed to provide, secure, support, and improve the Services; comply with law; and enforce these Terms.
The Organization represents that it has all rights and permissions needed for Meadow to process Customer Content as described in these Terms and the Privacy Policy. Meadow may remove or restrict content that violates these Terms, law, or third-party rights. We may use aggregated or deidentified information that cannot reasonably identify a person to operate, understand, and improve the Services.
9. Privacy, data processing, and education organizations
Our Privacy Policydescribes Meadow's information practices. Each Organization is responsible for its own privacy notices and legal obligations. For personal information Meadow processes on an Organization's behalf, the Organization instructs Meadow to process the information only to provide, secure, support, and improve the Services for that Organization; comply with law; and prevent fraud or misuse.
For that Organization-controlled personal information, Meadow will:
- not sell or share the information for cross-context behavioral advertising;
- not retain, use, or disclose it outside the business relationship except as permitted by these Terms, the Organization's lawful instructions, or law;
- limit access to personnel and service providers who need it to perform the Services and who are subject to appropriate confidentiality and data-protection obligations;
- assist the Organization with legally required privacy requests, security incidents, and deletion or return of information, taking into account the nature of the Services; and
- notify the Organization if Meadow determines it can no longer meet a material applicable data-protection obligation.
An Organization may take reasonable steps to verify that Meadow uses Organization-controlled personal information consistently with these Terms. If an Organization reasonably believes Meadow is processing that information without authorization, it may notify Meadow and require reasonable steps to stop and remediate the unauthorized processing.
If an educational agency or institution uses Meadow with education records, it directs and controls Meadow's use and maintenance of those records. Meadow will use personally identifiable information from education records only to perform the contracted registration and program-management services, will not redisclose it except as directed by the educational agency or permitted by law, and will delete or return it when no longer needed for that purpose, subject to lawful retention obligations. The educational agency remains responsible for determining that its use of Meadow satisfies FERPA, PPRA, state student-privacy laws, procurement rules, and its annual notices and access criteria. If additional terms are legally required, the parties will enter an appropriate data or student-privacy addendum before the covered use.
Meadow is not a HIPAA-regulated healthcare service and does not represent that the Services satisfy a regulated entity's HIPAA obligations. Organizations may not represent that Meadow holds a certification or compliance designation that Meadow has not expressly confirmed in writing.
10. Meadow property and feedback
Meadow and its licensors own the Services, software, designs, documentation, branding, and all related intellectual-property rights, excluding Customer Content. Subject to these Terms, Meadow grants you a limited, nonexclusive, nontransferable, revocable right to use the Services for their intended purpose during your authorized subscription or access period.
If you provide ideas or feedback, you grant Meadow a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.
11. Third-party services
The Services may depend on or link to third-party services, including Stripe, Supabase, Vercel, Resend, and Google Maps Platform. Third parties control their own services, terms, availability, and information practices. Meadow is not responsible for third-party services and does not guarantee that they will remain available or unchanged.
12. Changes, suspension, and termination
We may modify the Services and add, change, or discontinue features. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, fail to pay amounts due, misuse personal information, threaten security, or if continued service is prohibited or impracticable. Where reasonable, we will provide notice and an opportunity to cure.
You may stop using the Services at any time. Organizations may cancel subscriptions through available account controls or by contacting us; cancellation takes effect at the end of the then-current paid period unless law requires otherwise. Before termination, an Organization should export information it is legally required to retain. After termination, Meadow may delete or deidentify Customer Content after a reasonable transition period, except for information retained for backups, payment and tax records, waiver evidence, disputes, security, or legal compliance.
Sections that by their nature should survive termination—including payment obligations, intellectual property, disclaimers, liability limits, indemnity, disputes, and general terms—will survive.
13. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Meadow disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, security, and that the Services will be uninterrupted or error-free.
Meadow does not warrant any Organization, program, attendee outcome, waiver, legal template, refund, payment, communication delivery, roster, or user-provided information. Nothing in the Services is legal, medical, tax, accounting, or safety advice.
14. Limitation of liability
To the fullest extent permitted by law, Meadow and its owners, officers, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, goodwill, data, or business opportunity; or personal injury, property damage, or claims arising from an Organization's program, even if advised that such damages are possible.
To the fullest extent permitted by law, Meadow's total liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount the claimant paid directly to Meadow during the 12 months before the event giving rise to the claim or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain disclaimers or limitations, so portions of this section may not apply to you.
15. Indemnification
To the fullest extent permitted by law, each Organization will defend, indemnify, and hold harmless Meadow and its owners, officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to the Organization's programs; Customer Content; collection or use of personal information; waivers or policies; staff or contractors; violation of law, these Terms, or third-party rights; or disputes with families or attendees. Meadow will provide reasonable notice and cooperation, and the Organization may not settle a claim in a manner that admits fault by or imposes obligations on Meadow without our written consent.
16. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The state courts in the California county where Meadow has its principal place of business, and the federal district court serving that county, will have exclusive jurisdiction over disputes arising from these Terms or the Services, and each party consents to their personal jurisdiction and venue. Before filing a claim, each party agrees to provide written notice and make a good-faith effort for 30 days to resolve the dispute informally, except when immediate injunctive relief is reasonably necessary.
Nothing in these Terms limits nonwaivable consumer rights or permits either party to bring a claim after the applicable limitation period expires.
17. Changes to these terms
We may update these Terms from time to time. We will post the revised Terms and update their effective date. If a change materially reduces your rights or increases your obligations, we will provide additional notice when required. Continued use after revised Terms take effect constitutes acceptance, except where law requires affirmative consent.
18. General terms
These Terms, the Privacy Policy, applicable order or checkout terms, and any signed agreement between Meadow and an Organization are the entire agreement concerning the Services. A signed agreement controls over conflicting online terms. You may not assign these Terms without Meadow's written consent; Meadow may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. Neither party is liable for delay caused by events beyond its reasonable control. These Terms do not create a partnership, agency, fiduciary, employment, or franchise relationship.
19. Electronic communications and records
You consent to receive agreements, notices, disclosures, receipts, waiver copies, and other records electronically at the email address associated with your account or registration. You may retain these records by saving or printing them. You may withdraw consent to receive legally required records electronically by contacting Meadow, but withdrawal does not affect records or signatures already provided and may prevent continued use of features that require electronic records. You may request a paper copy of a legally required record by contacting Meadow; reasonable mailing costs may apply if permitted by law.
